Terms of Service for Kortexa iOS App

Effective Date: March 10, 2025

These Terms of Service ("Terms") govern your use of the Kortexa mobile application (the "App") provided by Kortexa, located at 254 Chapman Rd, Ste 208 #20395, Newark DE 19702, US ("Company", "we", "us", or "our"). By downloading, installing, or using the App, you agree to these Terms. If you do not agree to these Terms, do not use the App.

1. Acceptance of Terms

By accessing or using the Kortexa App, you confirm that you are at least 18 years old or that you have the consent of a parent or guardian to use the App. If you are using the App on behalf of an organization, you are agreeing to these Terms on behalf of that organization.

2. Changes to Terms

We reserve the right to modify these Terms at any time. If we make changes, we will provide notice by amending the date at the top of this document and may notify you through the App or by other means. Your continued use of the App after any such changes constitutes your acceptance of the new Terms.

3. Account Registration

To use certain features of the App, you may be required to create an account. You agree to provide accurate and complete information during the registration process and to keep your account information updated. You are responsible for the confidentiality of your account credentials and for all activities that occur under your account.

4. License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the App for your personal, non-commercial use.

5. User Obligations

You agree not to:

  • Use the App for any illegal or unauthorized purpose.

  • Interfere with or disrupt the App or servers or networks connected to the App.

  • Transmit any malicious software, viruses, or harmful code.

  • Attempt to gain unauthorized access to any part of the App or any systems or networks connected to the App.

  • Collect or store personal data about other users without their express permission.

6. Intellectual Property Rights

All content, trademarks, and other intellectual property appearing in the App are the property of Kortexa or its licensors. Your use of the App does not grant you any rights, title, or interest in any intellectual property owned by us.

7. Third-party Services

The App may contain links to third-party websites or services that are not owned or controlled by Kortexa. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party sites or services. You acknowledge and agree that Kortexa shall not be liable for any damage or loss caused by or in connection with the use of any such content, goods, or services.

8. Disclaimers

The App is provided on an "as-is" and "as-available" basis. Kortexa makes no representations or warranties of any kind, whether express or implied, regarding the operation of the App or the information, content, materials, or products included in the App.

9. Limitation of Liability

To the fullest extent permitted by applicable law, Kortexa shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the App, even if Kortexa has been advised of the possibility of such damages.

10. Indemnification

You agree to indemnify, defend, and hold harmless Kortexa and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, or expenses, including reasonable attorney’s fees, arising out of or in connection with your use of the App or violation of these Terms.

11. Governing Law

These Terms shall be construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the use of the App shall be resolved in the state or federal courts located in New Castle County, Delaware.

12. Termination

We may terminate or suspend your access to the App immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the App will immediately cease.

13. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions of the Terms will remain in full force and effect.

14. Entire Agreement

These Terms constitute the entire agreement between you and Kortexa regarding your use of the App and supersede any prior agreements.
